Terms & Conditions
1. Introduction
These Terms & Conditions (“Terms”) apply to your participation in the Make Her Mark initiative (“the Initiative”) hosted by BADBERRIES (“we,” “our,” “us”). By applying to the Initiative, you agree to comply with and be bound by these Terms. If you do not agree with any part of these Terms, you should not apply.
2. Eligibility
To be eligible for the Make Her Mark initiative, your business must:
- Be female-led, with at least one woman or non-binary person in the founding team and leadership.
- Be legally registered and in operation for at least one year.
- Be at a stage where new branding will have a tangible impact on growth.
- Have an active online presence (e.g., website and social media).
- Be able to collaborate remotely in English within GMT/BST working hours.
- Have decision-makers available to engage in the branding process.
- Be open to press, publicity, and showcasing the rebrand as part of the Initiative.
- Operate in any industry, including charities and cultural institutions.
- Additionally, applicants must:
- Be 18 years or older at the time of entry.
- Be the primary decision-maker or a key manager actively involved in the business operations.
- Submit their application through the official online form.
- Employees of BADBERRIES and their immediate family members are not eligible to participate.
3. Application Process
To enter, applicants must complete the online application form by the specified deadline. All information provided must be truthful and accurate. Any false or misleading information will result in disqualification. The form must be fully completed and include all requested information. Incomplete applications may not be considered. By submitting an application, the applicant agrees to be bound by these Terms & Conditions.
4. Selection Process
All eligible applications will be reviewed by a selection panel. After the application deadline, BADBERRIES co-founders will review all submissions. A shortlist of up to 10 candidates will be selected based on their application, vision, and business potential. Shortlisted candidates will be invited to a 20-minute interview with the BADBERRIES founders. One winner will be selected by the BADBERRIES co-founders from the shortlisted candidates and notified via email.
5. The Branding Package
The selected business will receive a branding package as outlined on our website, with the following deliverables:
- Brand strategy
- Tone of voice
- Logo design (static and motion)
- Colour palette
- Typography system
- Art direction
- Digital concepts
- Brand guidelines
- The prize is non-transferable and cannot be exchanged for cash or any other alternative. The winner will be required to sign an agreement outlining the scope of work, deliverables, and expectations before the branding process begins.
6. Exclusions
The following are not included in the branding package:
- Third-party costs such as licensing for fonts, photography, music, or software.
- Bespoke illustrations or photoshoots.
- Web development, coding, or technical implementation of web design.
- Any ongoing costs after the branding package has been delivered.
- Any additional design work beyond the scope agreed at project initiation.
7. Timelines
The branding process is estimated to take approximately 8 weeks, with the final timeline agreed upon at project initiation. Estimated stages:
- Insight: 7 days
- Strategy: 7 days
- Identity: 30 days (including exploration, development, and refinement)
- Application: 14 days (brand guidelines and templates)
- These timelines are subject to change based on the complexity of the project, feedback cycles, and unforeseen circumstances.
8. Ownership & Use of Deliverables
The selected business will receive full ownership of the final, approved branding deliverables. BADBERRIES retains ownership of all unused concepts, drafts, and exploratory work created during the process. BADBERRIES reserves the right to showcase the final branding work publicly, including in our portfolio, case studies, and promotional materials.
9. Publicity and Promotion
By applying, you agree to participate in media coverage and promotional activities related to the Make Her Mark initiative. This may include:
- Press releases, interviews, and case studies.
- Social media and website features.
- Behind-the-scenes content (photos/videos).
- Events, panels, or discussions related to the Initiative.
- By entering the initiative, the winner agrees to the following promotional activities related to the branding project:
- Publicity: The winner’s branding will be showcased on BADBERRIES’ website, social media channels, and marketing materials.
- Testimonial: The winner agrees to provide a testimonial about the branding process for use in BADBERRIES’ promotional materials.
- Speaking Opportunities: The winner agrees to collaborate with BADBERRIES for press release statements and potential speaking opportunities related to the branding.
- The winner gives consent for their business name, logo, and branding to be used in BADBERRIES’ marketing, promotional, and media materials. The winner will not receive any compensation for publicity or promotion beyond the branding project offered. BADBERRIES retains the right to use the rebrand in its marketing materials.
10. Confidentiality, Privacy & Data Processing
All information shared between BADBERRIES and the selected business will be treated as confidential, except where necessary for the branding process or required by law. By entering the initiative, applicants consent to the processing of their personal data for the purpose of administering the initiative and communicating with them about the outcome. All personal data collected will be handled in accordance with BADBERRIES’ privacy policy and applicable data protection laws.
11. Liability
- BADBERRIES is not responsible for any loss, damage, or injury caused by participation in the initiative, nor any costs associated with the prize that are not specifically included in the offer. The winner agrees to indemnify and hold harmless BADBERRIES, its partners, and affiliates from any claims, damages, or liabilities arising out of the branding process or its use.
- BADBERRIES does not guarantee any specific business outcomes or financial results from the branding package.
- The selected business is responsible for ensuring legal compliance, including trademarking and protecting the final branding elements.
- BADBERRIES is not liable for any indirect, special, or consequential damages arising from participation in the Initiative, including delays or issues with branding implementation.
12. Amendments & Termination
BADBERRIES reserves the right to modify or cancel the Initiative at any time without prior notice. Any significant changes will be communicated via email or updated on our website.
13. Changes to the Terms & Conditions
BADBERRIES reserves the right to amend or modify these Terms & Conditions at any time without prior notice. Any changes will be published on the BADBERRIES website and will apply to all entries submitted after the date of modification.
14. Governing Law
These Terms & Conditions are governed by the laws of England & Wales. Any disputes related to the Initiative will be subject to the jurisdiction of courts in England & Wales.
